Terms of sale

B2B terms of sale of Odeet subscriptions — version 2026-07-31, effective 2026-07-31. For professionals only; only the French version is authentic.

This English version is provided for convenience only. In case of discrepancy, the French version prevails.

Purpose and acceptance

These terms of sale govern the online subscription to Odeet paid plans. They supplement the terms of use; in case of conflict regarding the sale, the terms of sale prevail. They are accepted at checkout through a dedicated checkbox; the accepted version, its digital fingerprint, the date, the subscriber's identity and the chosen plan are recorded as proof.

Seller

Odeet is published and sold by the sole proprietorship whose full identity appears in the site's legal notice. Contact: the support address listed in the legal notice.

Professionals only

Odeet is sold exclusively to professionals: agencies, freelancers, companies, non-profits, public bodies and any organization acting in the course of its professional activity. Subscribing requires a declaration of professional capacity, verified by the service and kept as contractual proof. No consumer contract is concluded through Odeet: French consumer-law provisions — including the right of withdrawal and consumer mediation — do not apply. Access to the service opens immediately after payment confirmation.

Plans and prices

  • Free: 3 audits per month, no payment — also for professionals only.
  • Pro monthly: €30 per month, automatically renewing monthly subscription.
  • Pro yearly: €300 per year, automatically renewing yearly subscription.
  • Business: quote-based; the specific terms of the accepted quote or contract prevail where they differ.
  • Prices are in euros, net. VAT not applicable, article 293 B of the French tax code.
  • The Pro plan includes 100 audits per rolling 30-day period and at most two queued or running scans per organization; reselling access or sharing across separate organizations is excluded.

Ordering and payment

Subscription happens online from an Odeet account with a verified email address and an active organization. Payment is processed by Stripe, by card, at subscription and at each renewal. The order is confirmed when Stripe validates the transaction; a contractual summary (plan, price, billing period, next renewal, version and fingerprint of the accepted terms) is then emailed to the billing address.

Payment terms

  • The price is payable in full at each due date, by charge on the registered payment method.
  • No discount is granted for early payment.
  • If a payment fails at the due date, access to paid features may be suspended until the situation is resolved.
  • Any late payment automatically triggers, without prior notice: late-payment interest at the European Central Bank's most recent refinancing rate plus ten (10) percentage points (article L441-10 of the French Commercial Code), and a fixed recovery indemnity of forty (40) euros (article D441-5). If actual recovery costs are higher, additional compensation may be claimed with supporting evidence.

Term, effect and renewal

The subscription takes effect immediately after payment confirmation, for the chosen period (monthly or yearly). It then renews automatically for successive periods of the same length, at the current price. Any price change is notified at least thirty (30) days before the renewal date and only applies from the next renewal; the customer may cancel before that date if they refuse it.

Cancellation

  • The customer may cancel at any time, without cause, from the Stripe billing portal available in their dashboard (plan menu).
  • Cancellation takes effect at the end of the current period: access to paid features continues until that date, then the organization returns to the Free plan.
  • The current period remains due in full; no pro-rata refund is made.
  • Cancelling the subscription deletes neither the account nor the customer's reports.
  • Odeet may terminate the subscription if the customer breaches their obligations (including the terms of use) and fails to cure within fifteen (15) days of formal notice, or immediately in case of unresolved payment default, fraudulent use or a risk to the security of the service.

Refunds

No refund is due for a started period. Proven billing errors (double charge, wrong amount) are corrected and refunded. In the event of major, prolonged unavailability attributable to Odeet, the customer may request a commercial gesture, reviewed in good faith case by case.

Availability and support

Odeet uses reasonable means to keep the service available; the Pro plan does not include a service-level agreement (SLA). Interruptions may occur for maintenance, security, incidents or force majeure. Support is available by email at the address listed in the legal notice; Business plans may include specific support terms in the accepted quote.

Reports and ownership

Reports, exports and statements generated by the customer belong to the customer, who may freely use them in the course of their professional activity, including delivering them to their own clients. Odeet retains full ownership of the service, software, methodology and brand. The customer warrants that they have the right to have the websites, content and logos they submit analyzed.

Service limits and liability

Odeet provides an automated accessibility pre-audit: a diagnostic aid that is neither a complete RGAA audit, nor a certification, nor a guarantee of legal compliance, and whose results must be validated by a human before any official communication. Odeet's aggregate liability is capped at the amount actually paid by the customer over the twelve (12) months preceding the triggering event. Odeet is not liable for indirect damages (loss of business, customers, data, reputation). These limitations do not apply where the law prohibits limiting liability.

Personal data

The processing of personal data related to the account, billing and use of the service is described in the site's privacy policy. Payment data is processed by Stripe; Odeet does not store card numbers. Where Odeet processes personal data on behalf of the customer — the content of the web pages submitted for scanning, including screenshots — the data processing agreement (article 28 GDPR) annexed to these terms applies and forms an integral part of them.

Changes to these terms

The terms of sale are versioned, dated and archived; each subscription remains governed by the accepted version, whose fingerprint is retained. A new version only applies from the next renewal, after the customer has been informed. Continuing the subscription after the notified effective date constitutes acceptance of the new version.

Governing law and disputes

These terms are governed by French law. The parties will first seek an amicable resolution. Failing agreement within thirty (30) days, the dispute shall be brought before the competent courts of the seller's registered office, which are expressly granted jurisdiction, including for interim proceedings, notwithstanding multiple defendants or third-party claims.

Annex — Data processing agreement (article 28 GDPR)

The following annex forms an integral part of these terms of sale.

A1. Parties and purpose

This data processing agreement (“DPA”) is entered into between the professional customer identified at subscription, acting as controller (or as processor for its own clients, Odeet then acting as sub-processor), and DIDEK Josselin, sole proprietor (SIREN 990 184 392), operating the Odeet service, acting as processor. The DPA forms an integral part of the terms of sale; in case of conflict regarding data protection, it prevails. For account data (users' identity and email address, billing), Odeet acts as an independent controller, as described in the site's privacy policy.

A2. Description of the processing

  • Nature: automated collection (scan), storage, restitution (reports and exports), deletion.
  • Purpose: accessibility analysis (axe-core, RGAA/WCAG) of the websites submitted by the customer.
  • Data processed: content of the web pages submitted for scanning — HTML code, text and screenshots — which may incidentally contain personal data present on those pages; submitted URLs; audit results and annotations.
  • Data subjects: individuals whose data appears on the audited web pages (visitors, clients or employees of the audited site).
  • Duration: the term of the contract; the fate of the data is governed by article A7.

A3. Customer instructions

Odeet only processes the data referred to in article A2 on the customer's documented instructions: using the service (submitting a URL for scanning, generating an export, creating or revoking a share link, deleting an audit) constitutes the instruction. Odeet informs the customer if, in its opinion, an instruction infringes the GDPR. The customer warrants that it has a legal basis for having the websites it submits audited and that its instructions comply with the GDPR.

A4. Confidentiality

Persons authorized by Odeet to process the data are bound by an obligation of confidentiality.

A5. Security (article 32 GDPR)

  • TLS encryption of all communications (HTTPS).
  • Session-based authentication, email verification, rate limiting.
  • Data segregation per organization, server-side access control on every audit.
  • Hashed passwords, OAuth tokens encrypted at rest, integration secrets encrypted in the database.
  • Tamper-proof (append-only) audit log of sensitive actions.
  • Daily backups at the hosting provider (OVHcloud, France), tested restore procedure.
  • Effective cascading deletion: deleting an audit, an organization or an account purges the data in the database and the associated files (screenshots), and revokes share links.
  • Server hardening and regular security updates.

A6. Sub-processors

The customer gives its general authorization for the sub-processors listed at odeet.fr/subprocessors, which list forms part of this agreement. Odeet informs the customer of any addition or replacement at least thirty (30) days before it takes effect; the customer may raise a reasoned objection and, failing agreement, terminate the service for the future. Odeet imposes equivalent obligations on its sub-processors and remains liable for their performance.

A7. Assistance to the controller

  • Data subject rights (articles 12 to 23 GDPR): the customer can autonomously view, export and delete its audits; Odeet answers additional requests within fifteen (15) days at the support address listed in the legal notice.
  • Data breaches (articles 33 and 34): Odeet notifies the customer of any data breach affecting them without undue delay after becoming aware of it, with the information under article 33.3 available to it, and documents the incident.
  • Impact assessments (articles 35 and 36): Odeet provides reasonably necessary information about its processing and measures.

A8. Fate of the data at the end of the contract

Upon termination or account deletion, the customer may first export its data (full export available in the settings). Account deletion results in the effective deletion of all the customer's audits, reports, captures and share links. Only the following are retained: billing data (legal obligation), contractual evidence and the security log (legitimate interest, purged after three hundred and sixty-five (365) days). Backups expire according to their rotation cycle (daily backup, seven (7) rolling backups: effective purge within seven (7) days at most).

A9. Audits and inspections

Odeet makes available to the customer the information necessary to demonstrate compliance with this agreement (documentation, description of measures, sub-processors' attestations). The customer may carry out, at its own expense and at most once a year, a documentary audit with thirty (30) days' notice; an on-site audit is only conceivable if the documentary audit proves insufficient, and without access to other customers' data.

A10. Location, transfers, liability and term

The data referred to in article A2 is hosted in France (OVHcloud). Any transfers outside the European Union by sub-processors are governed by the safeguards listed at odeet.fr/subprocessors (standard contractual clauses, adequacy decision or equivalent mechanism). Odeet's liability under this agreement is subject to the limitations set out in the terms of sale, without prejudice to the rights of data subjects. The agreement takes effect upon acceptance of the terms of sale and remains in force for as long as Odeet processes data on behalf of the customer.
